Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Span Labs Inc. ("Span Labs," "we," "us"), the company that operates Estimora (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Estimora is an AI-assisted estimating tool for construction contractors. You describe a job in plain language and Estimora produces a priced quote calculated from the labour rates, supplier costs, and margins you provide.

2. Estimates are aids, not guarantees

Every price, quantity, takeoff, and scope Estimora produces is an estimate to help you quote faster — not a guaranteed or professional cost, engineering, or legal determination. The numbers are only as accurate as the cost data you enter and the information you provide, and the AI can misread or omit details. You are solely responsible for reviewing, verifying, and approving every quote before you rely on it, send it to a client, or begin work. Span Labs is not a party to any contract between you and your clients and is not liable for jobs quoted, won, lost, or performed using the Service.

3. Your account

You must be at least 18 and provide accurate information. You are responsible for activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.

4. Trials, plans, and billing

New accounts include a 14-day free trial with no card required. After the trial, continued use requires a paid subscription (Solo or Pro, as described on our pricing page). Subscriptions renew automatically until cancelled; you may cancel at any time and will retain access through the end of the current billing period. Fees are non-refundable except where required by law. We may offer a seasonal pause; terms are described in the app.

5. Your data and content

You retain ownership of the cost data, job descriptions, quotes, and other content you put into the Service ("Your Content"). You grant Span Labs a limited licence to store and process Your Content solely to provide and improve the Service, including sending job descriptions and attachments to our AI provider to generate quotes.

6. Acceptable use

You agree not to misuse the Service — including attempting to break, overload, reverse-engineer, or gain unauthorized access to it; using it to violate any law; or using it to build a competing product. We may suspend or terminate accounts that do.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Span Labs and protected by law. These Terms grant you no rights to our intellectual property except the right to use the Service as intended.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any estimate will be accurate.

9. Limitation of liability

To the maximum extent permitted by law, Span Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service.

11. Changes

We may update these Terms from time to time. If we make material changes, we will notify you. Continued use after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of- law rules. The courts of Ontario have exclusive jurisdiction.
